Metro Inc. of Montreal paying $1.7B for A&P Canada supermarket chain

Canadian Press
July 19, 2005

MONTREAL (CP) - Reaching boldly into the Ontario market to face Loblaw and Sobeys, Metro Inc. of Montreal is paying $1.7 billion for the A&P Canada supermarket chain.

The Metro grocery chain (TSX: MRU.SV.A) said Tuesday it has struck a deal with The Great Atlantic & Pacific Tea Co. and its subsidiary, A&P Luxembourg, to pay $1.2 billion in cash and $500 million worth of Metro class-A shares.

Metro shares soared more than 13 per cent Tuesday morning, gaining as much as $4.75 to $32.25 on the Toronto Stock Exchange.

"It's a great day for Metro," CEO Pierre Lessard said in a morning conference call with analysts. "A day, as a matter of fact, we've been waiting for the last seven years."

A&P Canada, which had been seeking a buyer in recent months, operates 236 food stores in Ontario under the A&P, Dominion, Food Basics, The Barn and Ultra Food & Drug banners, with annual sales of $4.4 billion and more than 32,000 employees.

The deal will give Metro a network of 579 food stores - 283 in Ontario - with annual sales of nearly $11 billion, pitting it against major rivals Loblaw (TSX:L) and Sobeys (TSX:SBY).

With its Metro, Metro Plus, Super C, Loeb and Brunet banners, Metro has annual sales of $6.1 billion and more than 33,000 employees.

Metro, the second-biggest grocer in Quebec and eastern Ontario, said in January it could easily finance a billion-dollar acquisition, with only $10.6 million in long-term debt and total assets of $1.65 billion.

Acquiring the No. 2 food retailer in Ontario with a number of stores in the high-growth Toronto area, A&P Canada would enhance Metro's position in Canada's two largest markets, Lessard said Tuesday.

The acquisition will make Metro a "much larger player" with a 16 per cent chunk of the Canadian grocery market, he added. Integration of the two companies will be "straightforward," with Metro keeping the A&P head office in Toronto.

Lessard also expects to see "cost synergies" of about $60 million resulting from the deal.

"The price may seem high, but we look at it as a very valuable asset," he said.

"We are delighted to enter into this historic agreement with Metro and to participate in its future growth and success with a significant investment position," Christian Haub, chairman and CEO of A&P's parent company, said in a release.

Metro will issue about 18.1 million shares to the U.S.-based parent firm, based on a price per share of $27.66, giving it about 15.8 per cent of Metro and 14.1 per cent of the total voting rights.

The deal also gives provides A&P the right to designate two representatives to the board of directors at Metro.

Metro said it has secured necessary financing from a syndicate of banks.

The transaction, scheduled to close in August, is expected to add to Metro's earnings per share in 2006 and is subject to customary conditions, including approval by the Toronto Stock Exchange.

I thought somebody had started one a few months back, but I did a couple of searches and just couldn't find it... so I figured I'd take a chance a start a whole new one.

Port of Montreal aims for record year
Last updated Jul 20 2005 02:16 PM EDT
CBC News

The Port of Montreal is heading towards a record year, anticipating it will move 25 million tons of commodities by the end of 2005.

The current record was set in 1980. Back then, the port focussed mainly on shipping grain.

The market has since changed and the port has adapted.

"At the end of June, our traffic is up to a million tons over last year," reports Dominic Taddeo, president and CEO of the Montreal Port Authority.

"So when we look at all the factors and the economy, we hope that this year we will beat the best year ever which was in 1980 when we handled 24.9," he says.

Montreal is one of the busiest inland ports in the world and a key transfer point for transatlantic cargo, according to the Port of Montreal.

Since 1980, the Montreal Port authority has spent $400 million improving the port.

Taddeo says Montreal now handles close to 40 per cent of all container traffic in the North Atlantic.

"Our growth was much bigger than the growth in New York and in Hampton Roads we had a growth of 12.7 per cent, New York had about four per cent and Hampton Roads had almost 10 per cent."

The Port of Montreal is celebrating its 175th anniversary this year.

If all goes well, they will celebrate by beating a 25-year-old record.

Some facts about the port of Montreal:

-Linked to more than 100 countries around the world by reputable shipping lines.

-Located on one of the largest navigable waterways in the world, the St. Lawrence River.

-Offers the shortest route between major European and Mediterranean ports and North American markets.

-Situated 1,600 kilometres inland from the Atlantic, it is the international port closest to North America's industrial heartland.

-Of all the ports along the North American East Coast, Montreal is the one that offers, year-round, the most direct access to major markets in Central Canada, the U.S. Midwest and the U.S. Northeast.

Plane builder to move from London to Montréal??

---------------

Plane builder plans to stay put

The head of Diamond Aircraft insists talk of moving to Quebec or elsewhere is premature, although suitors have wooed the company.
CHIP MARTIN, Free Press Politics Reporter 2005-07-19 01:23:32

The president of Diamond Aircraft said yesterday any talk of relocating to Quebec -- or anywhere -- is premature as the firm focuses on developing its first passenger jet.

But Peter Maurer conceded representatives from Quebec and U.S. states have made offers to lure the London firm and talks have been held.

Premier Dalton McGuinty and his colleges and universities minister, London's Chris Bentley, have encouraged Diamond to expand in London.

Over the weekend, the head of the London Economic Development Corp., John Kime, warned that London is in "serious" danger of losing Diamond to Quebec, which has a large aerospace industry and which has been wooing the company to move to Montreal.

But yesterday, Maurer said while it would be "impolite as well as poor business" not to "entertain unsolicited, no-obligation offers," it makes sense now -- as the firm develops and obtains certification for its new single-engine personal D-Jet -- to stay in London.

"There is much synergy between our existing two- and four-seater aircraft production and the new D-Jet and as such it makes much sense to co-locate these here," Maurer told The Free Press in writing.

Bentley, the London West MPP, and minister in charge of training, said he's willing to provide the training Diamond needs to more than double its workforce of 275.

Maurer said his company is being wooed by suitors as it contemplates expansion.

But he said it's disruptive to Diamond and its staff to discuss a potential move now.

"At this point . . . production site selection is premature and we are exploring the available options.

"We are in the process of assembling the information to make an informed decision and assuming that the relative merits of various locations are comparable, there would be no reason not to locate the D-Jet production program in London."

Federal Labour Minister Joe Fontana of London was unimpressed by Kime's comments on the risk of Diamond being wooed away, saying "I've been working my tail off to keep Diamond here and to make sure we get the value-added project here. I don't think his (Kime's) ill-informed comments help at all."

Besides London and Montreal, Fontana said several southern U.S. states are also wooing Diamond.

Bentley said he has met with Maurer and expects to discuss Diamond's needs with him again soon.

Bentley said McGuinty met with company brass several months ago in Austria, where the company is based.

"This is months ago, long before any lobbying or discussions," Bentley said.

"The premier . . . has been very interested in getting involved. We want to lure the expansion here. He's battling for Ontario. This happens to be a London opportunity, so he's pushing hard for it."

Bentley said he is determined to help Diamond.

"My hope, as we build our training programs, is to be as flexible as possible and react as quickly as possible. The days when you measured progress in years are gone . . . business doesn't measure its needs in terms of years."

Fontana said the London Economic Development Corp. hasn't worked with Diamond in the last two to three years.

"I hope if he's gonna be part of the team that he's gonna bring something to the table," Fontana said of Kime.

He wouldn't say what incentives the federal government has offered Diamond, but said London has to work hard to convince the company to build the D-Jet here.

"If London wants it, there's no doubt they're gonna have to work for it," he said.

Quebec Rejects Goodale's Plan for National Securities Regulator

July 14 (Bloomberg) -- Quebec has rejected federal Finance Minister Ralph Goodale's invitation to a meeting in September to discuss the creation of a national securities regulator because it's an infringement on provincial authority.

It's ``out of the question for the federal government to get involved in the regulation of securities in Quebec,'' provincial Finance Minister Michel Audet said in a statement today.

Each Canadian province and territory has its own securities regulator, making Canada the only industrialized country in the world without a national agency. A commission set up by the federal government in 2003 recommended a single regulator, after companies such as Imperial Oil Ltd. argued the 13 agencies increase costs and paperwork.

David Wilson, who takes over as chairman of the Toronto- based Ontario Securities Commission in November, said creating a single regulator is one of his priorities.

Quebec, with a primarily French-speaking population, has long resisted federal intrusions into its governing authority. The western provinces of British Columbia and Alberta have also opposed a single regulator, preferring to maintain their provincial authority.

``It won't be easy'' to create a national regulator, Wilson said in a June 22 interview. ``There's lots of resistance in certain parts of the country. Flexibility and compromise might be the ingredients that we need.''

The meeting with provincial ministers responsible for securities regulation will go ahead even if Quebec boycotts, Goodale's spokesman John Embury said in a telephone interview from Ottawa.

Disadvantage

``Businesses have told us over and over and over again that one of the requirements for a modern economy is smoother regulation,'' Embury said. ``We're certainly one of the few countries in the world that hasn't gone this way and that puts Canadian companies and Quebec companies at a disadvantage.''

Ontario, home to the country's main stock exchange, refused last year to sign an agreement backing the so-called ``passport'' system, which would allow investors and companies to apply for approval in just one province. Quebec supports the passport system.

The passport would eliminate multiple requirements for registering stock sales, although each jurisdiction would still enforce its own rules and charge its own fees.

With the passport ``we are meeting the same simplification and harmonization objective, while respecting the constitutional jurisdictions of each government,'' Audet said.

Wireless giant Ericsson will have to pay Quebec penalties due to layoffs

Martin Ouellet
Canadian Press

Friday, July 15, 2005

QUEBEC (CP) - Wireless phone equipment maker Ericsson, which has announced 300 layoffs at its Montreal plant, will have to pay the Quebec government a penalty of $1.3 million, a cabinet minister said Thursday.

"We are ready to help companies but when they say they are going to create jobs, they have to do it," Economic Development Minister Claude Bechard told The Canadian Press in a telephone interview. In January 2001, the Quebec government gave the Swedish telephone giant $21 million to help fund research and development.

The agreement was intended to maintain at least 1,600 jobs in Montreal. But with 300 layoffs confirmed Thursday, Ericsson will only have 1,500 employees in Montreal, 100 less than insisted upon by the government.

The company now has to live with the consequences of its decision, Bechard said.

"We're responsible for taxpayers' money," Bechard said. "They (the Ericsson directors) did not respect the agreement we had and will be penalized."

The penalty is $13,500 per employee below the limit of 1,600 jobs.

However, Bechard said the government is willing to help the company if it develops a new product for production in Montreal.

"We are in discussions to guarantee the funds aimed to develop a new type of product," Bechard said. "If Ericsson is able to reach an agreement to develop its product in Montreal, we will sign a new deal."

However, the government intends to raise the bar for the telecom company.

Bechard indicated the new deal would require the firm to maintain 1,750 jobs in Montreal.

At the moment, the layoffs announced by Ericsson would cut the company's workforce in Canada by 15 per cent. Mainly engineers and research technicians would be affected.

Québec Economy to Gain Momentum, According to BMO Provincial Outlook Report

MONTREAL, July 11 /CNW/ - Economic activity is poised to accelerate in
Québec next year, after a small gain this year, according to the Provincial Outlook report from the BMO Financial Group Economics Department.

The Québec economy is projected to grow by 2.5 per cent this year, up slightly from 2.2 per cent in 2004. The pick-up is largely attributable to a combination of increased non-residential investment and stronger household spending. The investment spending is led by work on hydroelectric projects and
the extension of the Montreal metro system. The growth in household spending is reflected in the strong increase in retail sales so far this year; the Provincial Outlook notes the contribution of provincial tax cuts to spurring household spending.

On the other hand, housing activity is expected to slow in Québec. The decline in building permits issued and housing starts so far this year suggests that pent-up demand is gradually being satisfied. The report calls for total starts to fall below 50,000 units this year and to continue subsiding to about 36,000 units in the 2007-2009 period.

"The net effect is that growth will accelerate this year and next, to
about 3.1 per cent in 2006," said Rick Egelton, Chief Economist, BMO Financial Group. "Longer term, we see the Québec economy maintaining a growth rate near 3 per cent."

Despite the stronger growth, job creation is expected to slow this year and next. The province's unemployment rate, however, is projected to settle into a narrow range just above 8 per cent over the medium term, down from the 8.5 per cent average recorded in 2004.

The aerospace sector was the main cause of the province's poor export performance last year, but there are early signs that the industry has turned the corner. As well, a number of aerospace companies have announced plans for major development expenditures.

Québec's forestry sector faces challenges from a number of quarters, including the ongoing softwood-lumber dispute with the United States, the provincial government's announcement of a 20 per cent reduction in the allowable cut and the possibility of reduced demand if the home-building boom ends south of the border.

Spending restraint is likely to continue in Québec City as the provincial government aims to keep the budget balanced despite slow growth in own-source revenues. The 2005 budget included some modest cuts to personal income taxes and a rationalization of the corporate tax structure. The latter will cut revenue growth slightly but also make the tax system more investment friendly.

Recettes agricoles records au Québec
Presse Canadienne
21 juillet 2005 - 17h39

World-Class Research Will Get Montréal Showcase Next June

OTTAWA, July 22 /CNW/ - Some 600 world leaders in railway research and technology development will gather in Montréal next year to share ideas and discuss ways of tackling technical problems facing passenger and freight train operators.

The occasion will be the 7th World Congress on Railway Research scheduled for June 4-8, 2006 at Fairmont The Queen Elizabeth. Closing date for research paper abstracts is the end of this month, July 31. Accepted abstracts will be confirmed by Dec. 15, 2005. The closing date for final papers is next March 15, 2006.

Roy Allen, chair of the international organizing committee, and president of the Association of American Railroads' Transportation Technology Center Inc. in Pueblo. Colo. said: "Having the conference in North America this time will shift the focus of the bi-annual event somewhat. It will look more closely at the freight-based railways of Canada and the United States, which is different than in Europe and Japan, where the railways have been primarily involved in passenger transportation."

The conference could provide Canadian and American railways with valuable insights on how to improve passenger rail service. As well, the Montréal conference will provide industry suppliers with the first opportunity to show their wares not only at the hotel exhibits but also on the tracks at nearby Lucien L'Allier Commuter Station. There will also be technical tours to rail
facilities such as maintenance centres, intermodal yards and research venues in the Montréal area and Ottawa.

The theme of the conference is "Progressing Together / Le progrès ensemble". Its technical program will deal with applied research on important rail issues including network capacity, service reliability, sustainable development for railway systems, system optimization, innovative approaches to design and maintenance, security and fundamentals of progress in railway
science and socio-economic studies. Awards are presented for the best research papers given at the conference.

Bombardier Inc. is the Platinum-level sponsor of the Congress, and VAE Nortrak, a Special Gold sponsor. Other sponsors are being confirmed. The first research congress was held in 1994 in Paris - inspired by the success of a railway research workshop in Tokyo in 1992 - and followed by sessions in Colorado Springs, Italy, Japan, Germany and Scotland. The 2008 congress will
be in Seoul, Korea. For more details, go to www.wcrr2006.org.
